These terms govern your use of the FleetXchange platform, operated by Fleetxchange (Pty) Ltd, including our mobile app, web portal and this website. By creating an account or using the platform you agree to them.
1. What FleetXchange is
FleetXchange operates two divisions. Under Lite Haul we provide a marketplace where clients post loads and verified transporters bid on them; the transport contract is between the client and the transporter, and FleetXchange acts as the platform. Under Heavy Haul FleetXchange acts as a freight broker, contracting with the client and separately appointing a transporter to perform the shipment.
2. Accounts
- You must be 18 or older and provide accurate information.
- One person or business, one account. You are responsible for activity on your account and for keeping your login details secure.
- We may suspend or close an account for fraud, misrepresentation, expired or falsified documents, repeated non-performance, or abuse of other users or our staff.
3. Transporter verification
Transporters must upload the required vehicle, driver and business documents and be verified before carrying any load. You must keep documents current and hold all licences, permits and insurance required in the countries you operate in. Operating with expired or invalid documents is a breach of these terms and may result in suspension.
4. Loads, bids and appointments
- Clients must describe cargo accurately, including weight, dimensions and anything hazardous or restricted.
- A bid submitted by a transporter is an offer. Acceptance by the client (Lite Haul) or appointment by FleetXchange (Heavy Haul) forms a binding engagement.
- Transporters must not double-book. Accepting a load and failing to perform it may result in suspension.
- Cancellation terms depend on when the cancellation occurs and may attract a charge.
5. Payment, commission and withdrawals
- Card payments are processed through our payment provider. Cash on delivery is available on Lite Haul.
- Transporter earnings are credited to a FleetXchange wallet on completion of the load.
- FleetXchange charges commission on completed loads. Where a client pays by card, commission is deducted automatically. Where the transporter is paid in cash, the commission is recorded against the transporter's wallet and recovered from subsequent earnings.
- Withdrawals are processed on a weekly payment run to the transporter's registered bank account. A negative wallet balance must be settled before further withdrawals are released.
- On Heavy Haul, invoicing follows approval of proof of delivery.
6. Cargo, insurance and liability
- Transporters are responsible for the safe carriage of cargo they accept and must hold valid vehicle insurance.
- Goods-in-transit cover may be applied to a trip where arranged. Where no such cover is in place, cargo travels at the risk agreed between the parties.
- Under Lite Haul, FleetXchange is not a party to the transport contract and is not liable for loss, damage, delay or non-performance by a client or transporter. Our role is the provision of the platform.
- Under Heavy Haul, our liability is limited to the terms of the specific shipment agreement and, in any event, to the freight charges payable for that shipment.
- To the maximum extent permitted by law, we exclude liability for indirect or consequential loss, including loss of profit or business interruption.
7. Prohibited cargo and conduct
You may not use the platform to move illegal goods, undeclared hazardous materials, or anything prohibited in the countries of origin, transit or destination. You may not misrepresent cargo, circumvent the platform to avoid commission on loads sourced through it, harass other users, or attempt to interfere with the platform's operation.
8. Tracking
Transporters consent to location tracking while a trip is active. This is a condition of using the platform and exists to give clients visibility of their cargo.
9. Disputes
Raise disputes with us at info@fleetxchange.africa. We will review the record attached to the load — agreed terms, statuses, tracking, messages and proof of delivery — and assist the parties in reaching a resolution. Under Lite Haul this assistance does not make us a party to the contract.
10. Changes and governing law
We may update these terms; continued use after a change constitutes acceptance. These terms are governed by the laws of the Republic of Botswana, and the courts of Botswana have jurisdiction.
